TERMS AND CONDITIONS
These are the terms and conditions that govern the relationship between , as our “Client” and As You Wish…Personal & Virtual Assistance, LLC. For the purpose and remainder of this agreement, will be referred to as “Client” and As You Wish…Personal & Virtual Assistance, LLC will be referred to as “As You Wish”. When you pay the Initial Deposit Fee to us for the purpose of creating your website, you become our “Client”, and, as such, become legally bound by these Terms and Conditions.
1. The “Client” represents to us that the information provided and submitted to “As You Wish” is true and correct to the best of “Client’s” knowledge. You understand and agree that we rely on this information to perform our web design services. If any of the information provided is proprietary, copyrighted or registered as a trade or service mark, you also represent to us that you own such information or that you have the right to use it in your website.
2. Upon our receipt of your signed contract and confirmation of your order, you agree to pay “As You Wish” the full amount of our fees stated in the contract, as well as any and all expenses paid by “As You Wish” in regard to “Client’s” website.
3. There is a minimum of a $100.00 deposit required. We will begin our web designing work for you as soon as the Initial Deposit Fee has been accepted and cleared by our bank.
4. Initial deposit shall be forfeited by “Client” if service is cancelled and any and all other hourly rates incurred, expenses paid, of monies expended by “As You Wish” will be due upon cancellation. If final payment is not made within 7 business days, the “Client” agrees to pay a 2% monthly late fee until the balance is made in full.
5. “Client” understands and agrees that an estimate may not reflect the amount due on the final bill. Additions, changes, necessary work and other requests by the “Client” to “As You Wish” whether written, verbally or otherwise will be billed at an hourly rate of $25.00 per hour. “Client” agrees that all fees accrued by the creation of the “Client’s” website are due and payable by the “Client” upon completion of the website.
5. “As You Wish” is the owner of all rights, title, and interest to any draft, including copyright, proprietary right, or service mark or trademark until it is paid in full for its services. Upon payment in full, “As You Wish” releases all rights, title and interest to the Final Draft. Upon payment in full, “As You Wish” grants to “Client” and “Client” shall be the owner of, all rights, title and interest to the draft.
6. “Client” understands and agrees that hosting must be provided by SiteKreator.com. The monthly hosting fee is due and payable on a monthly or annual basis by the customer and directly to SiteKreator.com. “Client” is aware that there is no contract for service. “Client” also understands that some features of the website may be lost if hosting is not paid for. “Client” furthermore understands that “As You Wish” is an independent designer and is not liable for the actions of SiteKreator.com. Finally, “Client” admits to being informed that the monthly hosting fee due to SiteKreato.com on a monthly basis, ranges from free to $39.95 depending on the package they choose and that the package can be up or downgraded at any time.
7. “Client” agrees to use the website lawfully. “Client” agrees to indemnify and hold “As You Wish” harmless from all loss, damages, costs or expenses, including attorney’s fees, other than as caused by the acts or omissions of “As You Wish”, arising out of any breach of these Terms and Conditions or as a result of “Client’s” use of the website.
8. “Client” hereby acknowledges that he or she is in no way affiliated, associated with, employed by, or under independent contract with any other web design consulting firm or any entity that could be construed as a competitor to “As You Wish”. By signing you agree you make this purchase in an honest attempt and in the event a connection is found between you and a competitor of “As You Wish” Web, you relinquish your right to arbitration or legal action in any form.
9. The agreement between “As You Wish” and “Client” shall be governed by the laws of the State of Arizona. Because of the fact that Clients of “As You Wish” can be located anywhere in the world, “Client” agrees that the venue for adjudicating any claims between the parties shall be in Phoenix City, Arizona, USA.
10. “Client” represents that “Client” is over eighteen (18) years of age and has the legal right to enter into a contractual obligation.
11. These Terms and Conditions shall be binding to the parties’ partners, affiliates and successors in interest. If there is a difference between the content of the “As You Wish” Web site and these Terms and Conditions, these Terms and Conditions shall control the relationship between the parties.
